La Transmission Universelle de Patrimoine (TUP) est un mécanisme juridique puissant permettant la fusion simplifiée d'entreprises. Ce procédé, particulièrement efficace dans le cadre de restructurations de groupes, permet à une société mère détenant 100% du capital de sa filiale d'absorber cette dernière sans passer par une procédure de liquidation.
Lors d'une TUP, l'intégralité du patrimoine de la société absorbée - actifs et passifs - est transférée de plein droit à la société absorbante, en une opération unique. Ce transfert s'opère de manière globale et automatique, sans nécessité de respecter les formalités habituelles liées aux cessions d’actifs individuels. La société absorbée disparaît ainsi sans liquidation, ses droits et obligations étant intégralement repris par la société absorbante.
